VENDOR TERMS & CONDITIONS

Welcome to NexBazaar.in, an online marketplace platform owned and operated by NexEcoTech Private Limited (“NexBazaar”, “Company”, “we”, “our”, or “us”).

These Vendor Terms & Conditions (“Terms”) constitute a legally binding agreement between NexEcoTech Private Limited and any individual, business entity, supplier, reseller, manufacturer, distributor, or merchant (“Vendor”, “Seller”, “you”, or “your”) using the NexBazaar.in platform for listing, marketing, selling, and delivering products.

By registering as a Vendor or listing products on NexBazaar.in, you acknowledge that you have read, understood, and agreed to comply with these Terms and all applicable policies of NexBazaar.in.

2. ELIGIBILITY & VENDOR REGISTRATION

2.1 Eligibility

To become a Vendor on NexBazaar.in:

You must be at least 18 years of age
You must be legally capable of entering into binding agreements
You must operate a legally registered business or valid proprietorship under Indian laws
You must possess valid KYC, GST, PAN, or other required documents where applicable

By registering, you confirm that all information provided is truthful and accurate.

2.2 Account Registration

Vendors must provide:

Business name
Contact information
Bank details
GST details (if applicable)
Business address
Identity verification documents

You are solely responsible for maintaining:

Account confidentiality
Login credentials
Security of your vendor account

Any activity conducted through your account shall be considered your responsibility.

3. PRODUCT LISTINGS & STANDARDS

3.1 Product Listings

Vendors are responsible for ensuring that all listings:

Are accurate and complete
Include genuine images and specifications
Mention pricing clearly
Describe product condition correctly
Comply with Indian laws and NexBazaar policies

False or misleading listings are strictly prohibited.

3.2 Product Quality

All products sold on NexBazaar.in must:

Be genuine and authentic
Meet applicable safety and quality standards
Match the descriptions and images provided
Be free from defects unless specifically disclosed

Counterfeit, duplicate, refurbished (without disclosure), or fake products are strictly prohibited.

3.3 Pricing Policy

Vendors agree to:

Maintain fair and competitive pricing
Avoid misleading discounts or fake MRPs
Honor listed prices after order confirmation

NexBazaar.in reserves the right to:

Modify or remove suspicious listings
Restrict overpriced products
Cancel pricing errors

3.4 Prohibited Products

Vendors may NOT list:

Illegal or restricted products
Counterfeit goods
Stolen products
Hazardous or banned materials
Intellectual property violating products
Adult or obscene content
Narcotics, weapons, or regulated items prohibited under Indian laws

Violation may result in:

Immediate listing removal
Account suspension
Legal reporting to authorities

4. FEES, COMMISSIONS & PAYMENTS

4.1 Commission Fees

NexBazaar.in may charge:

Sales commission fees
Listing fees
Marketing or promotional fees
Logistics or handling fees

Applicable fee structures may vary by category and will be available within the Vendor Dashboard.

4.2 Payment Gateway Charges

Payment processing charges, taxes, TDS deductions, refunds, chargebacks, or transaction fees may be deducted before vendor payouts.

4.3 Vendor Payout Schedule

Approved payments are generally processed:

Weekly or as per payout cycle
To the registered bank account

Payouts are subject to:

Successful order completion
Return/refund adjustments
Fraud checks
Minimum payout thresholds

4.4 Refunds & Chargebacks

In cases of:

Returns
Refunds
Failed deliveries
Customer disputes
Payment chargebacks

NexBazaar.in reserves the right to deduct applicable amounts and associated charges from future payouts or vendor balances.

5. ORDER PROCESSING & SHIPPING

5.1 Order Fulfillment

Vendors must:

Accept and process orders promptly
Ship products within committed timelines
Update tracking details accurately
Maintain inventory availability

Repeated delays may lead to penalties or suspension.

5.2 Packaging & Logistics

Vendors are responsible for:

Secure packaging
Proper labeling
Damage prevention during transit

NexBazaar.in may recommend preferred logistics partners for better delivery performance.

5.3 Returns & Refunds

Vendors must comply with NexBazaar.in Return & Refund Policies.

Where returns are valid, vendors agree to:

Accept returned products
Cooperate during investigations
Process approved refunds or replacements promptly

6. VENDOR CONDUCT & CUSTOMER SERVICE

6.1 Professional Conduct

Vendors must maintain professional behavior while interacting with:

Customers
NexBazaar staff
Delivery partners

Harassment, abuse, threats, misleading behavior, or unethical practices are strictly prohibited.

6.2 Customer Support Obligations

Vendors are expected to:

Respond promptly to customer queries
Resolve complaints professionally
Maintain high service standards

Excessive negative feedback may impact vendor ratings or account status.

7. INTELLECTUAL PROPERTY & LEGAL COMPLIANCE

7.1 Intellectual Property Rights

Vendors must ensure that:

Products
Images
Logos
Brand names
Descriptions

do not violate third-party copyrights, trademarks, patents, or intellectual property rights.

7.2 Legal Compliance

Vendors must comply with:

Indian consumer protection laws
GST and taxation laws
Import/export regulations
Product safety laws
E-commerce guidelines

Any legal violations shall be solely the vendor’s responsibility.

7.3 Data Privacy

Vendor access to customer data is limited strictly for order fulfillment purposes.

Vendors shall NOT:

Share customer information
Use data for unauthorized marketing
Sell or distribute customer details

Unauthorized use may lead to legal action.

8. LIABILITY & INDEMNIFICATION

8.1 Vendor Liability

Vendors are fully responsible for:

Product quality
Listing accuracy
Warranty obligations
Consumer disputes
Policy violations

8.2 Indemnification

You agree to indemnify and hold harmless NexEcoTech Private Limited, NexBazaar.in, affiliates, directors, employees, and partners from:

Claims
Losses
Penalties
Legal disputes
Damages
Regulatory fines

arising from your products, conduct, listings, or violations.

9. ACCOUNT SUSPENSION & TERMINATION

9.1 Suspension

NexBazaar.in may suspend vendor accounts for:

Poor seller performance
Excessive complaints
Fraudulent activities
Fake products
Policy violations

9.2 Termination

Serious or repeated violations may result in:

Permanent account termination
Withholding of payouts
Removal of listings
Legal reporting

9.3 Appeals

Vendors may request review of suspension or termination decisions by contacting support. Final decisions shall remain solely at NexBazaar.in’s discretion.

10. DISPUTE RESOLUTION

10.1 Customer Disputes

NexBazaar.in may mediate disputes between buyers and vendors.

Vendors agree to cooperate fully during investigations and dispute resolution processes.

10.2 Legal Disputes

In case of disputes between vendors and NexBazaar.in:

Parties shall first attempt amicable resolution
If unresolved, disputes may proceed to arbitration under Indian laws

11. MODIFICATIONS TO TERMS

NexEcoTech Private Limited reserves the right to update or modify these Terms at any time without prior notice.

Continued use of the platform constitutes acceptance of revised Terms.

12. GOVERNING LAW & JURISDICTION

These Terms shall be governed by and interpreted in accordance with the laws of India.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of courts located in New Delhi, India.
